Reproduction of any IMEX publication in any form without prior written permission is forbidden. The entire contents of IMEX research reports and internet site including data, reports, graphics, look and feel, and third party provided services and information are for the sole use of the recipient. Under no circumstances may the recipient allow contents of the reports be reproduced by any means - mechanical or electronic, or re-distributed the information outside the recipient's other offices/departments of his/her company without written permission from IMEX.

Grant of License Rights

By requesting or obtaining a Report, Subscriber acknowledges that it is bound by the terms and conditions of this Agreement and any amendments thereto. Your accessing and/or use of IMEX reports signifies your agreement to abide by this Agreement and Terms of Use.

Survival of Terms and Conditions Herein

Any contradiction between the Terms of Sale and Licensing contained herein and those specified in a client's purchase order, will be controlled by the terms and conditions contained in this document and will supersede and survive those contained in the client's purchase order.

Indemnification of IMEX in use of information

The information contained herein has been obtained from sources believed to be reliable. IMEX disclaims all warranties as to the accuracy, completeness or adequacy of such information. IMEX shall have no liability for errors, omissions or inadequacies in the information contained herein or for interpretations thereof. The reader assumes sole responsibility for the selection of these materials to achieve its intended results.

Right to make any changes to content without giving notice to recipient

IMEX reserves the right to make any changes to the contents or table of contents of any reports, graphs, data etc.at any time without giving notice. Be aware that the contents or table of contents in the reports invariably would differ, slightly or significantly, from those on the web site. The opinions expressed herein are subject to change without notice.

Quoting IMEX Information and Data

Quoting IMEX Information and Data: Internal Documents and Presentations - Any IMEX Information that is to be used in advertising, press releases, or promotional materials requires prior written approval from the appropriate IMEX. A draft of the proposed document should accompany any such request.

Content of customized or special version reports at sole and full discretion of IMEX

The content delivered by IMEX for any customization of reports or special versions of reports would be at the sole discretion of IMEX and recipient would completely and unequivocally rely on IMEX's judgement on the content and extent of content provided. Although IMEX and recipient may outline the customization of a report, recipient fully understands and agrees that IMEX would have the final authority to select the nature and extent of content delivered.

All sales are final, no refunds or exchanges

All sales are final. No refunds or exchanges. Payments are net 15 calendar days, 1.2% per week thereafter. Since the reports are intellectual property of IMEX, the information once seen by the recipient is deemed consumed. Payment for reports is guaranteed by recipient, once it is shipped by IMEX to recipient.


Copyright Notice and Subscriber License Agreement

IMEX Research or IMEX International (herein “IMEX”) provides all research information based on information gathered by it or opinions created by it or available to it at the time the research was conducted or report made. Information in the report provided herein is for informational purposes only and is not intended for any reliance to create a business. IMEX shall not be liable for any errors or delays in the content, or for any actions taken in reliance thereon. Information herein is only for client's internal use only. Copying the report by any means mechanical or electronic is strictly forbidden. For additional copies please contact IMEX.

Express written permission is required to disseminate any information in this report, outside of the client's office. Quoting any IMEX Research Information or Data that is to be used in advertising, press releases, or promotional materials requires prior written approval from IMEX. Data and information in this report is leased to the client and remains the property of IMEX including copyrights and all rights reserved.

Use of any IMEX Research report (“Report”) and the information therein is granted to annual or single-report subscribers (“Subscribers”) under the terms of this Subscriber License Agreement ("Agreement"), which may be amended from time to time by IMEX, without notice.

Ownership Rights

All Reports are owned by IMEX and protected by United States Copyright and international copyright/intellectual property laws under applicable treaties and/or conventions. Subscriber agrees not to export any Report into a country that does not have copyright/intellectual property laws that will protect IMEX's rights therein.

Grant of License Rights

IMEX hereby grants Subscriber a personal, non-exclusive, non-refundable, non-transferable license to use the Report for research purposes only pursuant to the terms and conditions of this Agreement. IMEX retains exclusive and sole ownership of each Report disseminated under this Agreement. Subscriber agrees not to permit any unauthorized use, reproduction, distribution, publication or electronic transmission of any Report or the information/forecasts therein without the express written permission of IMEX. Multi-user Subscribers purchasing between three and nine subscriptions at same physical and postal address location may make a Report available to other persons as long as the distribution of any single Report does not exceed the number of subscriptions purchased. Enterprise Level Subscribers, however, may make a Report available for access on computer intranets or closed computer systems for internal use under their service agreements with IMEX.

IMEX, by accepting Purchase Orders from prospects and customers and delivering information through reports and consulting, only licenses this information to the customer. IMEX retains all rights to IMEX information that it so licenses (and delivers against Purchase Orders). IMEX, by licensing this information has the FINAL right, wether indicated otherwise on customer's Purchase Order or not, to include customer's name (and proper logo) on it's website or literature.

Disclaimer of Warranty and Liability

IMEX has used its best efforts in collecting and preparing each Report. IMEX, its employees, affiliates, agents and licensors do not warranty the accuracy, completeness, currentness, non-infringement, merchantability or fitness for a particular purpose of any reports covered by this agreement. IMEX, its employees, affiliates, agents and licensors shall not be liable to subscriber or any third party for losses or injury caused in whole or in part by our negligence or contingencies beyond IMEX's control in compiling, preparing or disseminating any report or for any decision made or action taken by subscriber or any third party in reliance of such information or for any consequential, special, indirect or similar damages, even if IMEX was advised of the possibility of the same. Subscriber agrees that the liability of IMEX, its employees, affiliates, agents and licensors, if any, arising out of any kind of legal claim (whether in contract, tort or otherwise) in connection with its goods/services under this agreement shall never exceed the amount paid to IMEX for use of the report in question.
